Terms & Conditions

1. Acceptance of Orders
All sales and services provided by Dos Locos Fabrication ("Dos Locos") are expressly conditioned upon acceptance of the following Terms and Conditions. Any conflicting terms provided by the Buyer are hereby rejected unless agreed to in writing by Dos Locos.

2. Quotes and Pricing
Prices are based on material and labor costs at the time of quotation and are valid for 30 days unless otherwise stated. Pricing is subject to adjustment for material cost fluctuations or project scope changes. Any quote provided does not include sales tax, unless explicitly stated.

3. Order Modifications & Cancellations
Orders may not be cancelled or modified without prior written consent of Dos Locos. Buyer shall be responsible for all incurred costs, including but not limited to materials, labor, and administrative time, up to the date of cancellation or modification.

4. Payment Terms
A 50% deposit is required to begin all projects unless otherwise agreed in writing. Invoices are due within 30 days from the date of invoice unless otherwise agreed in writing. Late payments are subject to a 2% monthly finance charge (24% annually). A 3% processing fee will apply to all credit card transactions. Returned checks will incur a $50 fee.

5. Delivery & Risk of Loss
Dos Locos will deliver products using its own transportation equipment unless otherwise specified. Risk of loss transfers to the Buyer upon delivery and acceptance of goods at the delivery site. If Buyer is not present at time of delivery, risk of loss transfers once the goods are unloaded at the agreed location. Delays in unloading or special delivery instructions resulting in additional costs will be the responsibility of the Buyer.

6. Project Timelines & Delays
Estimated completion or delivery dates are based on current workloads and supply conditions. Dos Locos shall not be liable for delays due to weather, material shortages, labor issues, or other causes beyond our control. Timelines may be adjusted equitably as needed.

7. Warranty & Claims
Dos Locos warrants its workmanship for a period of one (1) year from the date of delivery. This warranty covers repair or replacement at Dos Locos’ discretion. This warranty does not cover misuse, alteration, or improper maintenance. All claims must be made in writing within 10 business days of discovery.

8. Limitation of Liability
Dos Locos’ liability is limited to the repair, replacement, or refund of defective products. Under no circumstances shall Dos Locos be liable for indirect, incidental, or consequential damages including but not limited to lost profits or business interruption.

9. Intellectual Property & Buyer-Supplied Designs
Buyer agrees to indemnify and hold harmless Dos Locos from any claims resulting from the use of designs, drawings, or instructions supplied by Buyer. All original blueprints, prototypes, CAD files, design concepts, and engineering drawings created by Dos Locos remain the sole intellectual property of Dos Locos unless explicitly transferred in writing. Buyer shall not reproduce, distribute, or utilize said materials for commercial or competitive use without prior written consent.

10. Governing Law & Venue
These terms shall be governed by and construed in accordance with the laws of the State of Indiana. Any legal action must be brought in the courts of Marion County, Indiana.

11. Force Majeure
Dos Locos shall not be held liable for delays or failure to perform due to acts of God, war, labor disputes, supply shortages, pandemics, or any other cause beyond our reasonable control.

12. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements or understandings, whether written or oral.
